Terms and Conditions of SmartCitiesTV Commercial Content Partner Accounts.



In this agreement described below we are know as SmartCitiesTV, (a trading style of International Business Television Ltd), and you are known as the Client. The terms We, Our & SmartCitiesTV are used interchangeably and the terms You & Client are used interchangeably.

1. The services that the Client will receive from SmartCitiesTV for the duration of this agreement.

1.1 Full Service Account Set up.
Our team will set up your account for you and send to you login details for your account. You’ll receive access to a user dashboard where you’ll be able to publish and un-publish your content.

1.2 Trusted Partner Status Giving Unlimited Content Submission.
A Commercial Content Partner account gives your business Trusted Partner status thus allowing you to submit unlimited Video or Article content to the platform for the duration of the agreement. You may create content of any style and of any duration on any topic pertaining to Smart City development.

1.3 Advertisement free account for the twelve month duration of this agreement.
No third party advertisements will be placed either before, during or after your own videos as they play giving our audience immediate access to your content without interruption. This also applies to if you use the SmartCitiesTV media player to embed content on your website.

1.4 Option to place your company’s own advertisements before, during or after your own content.
You may use the integral advertising positions before, during or after your own content to run your own advertisements to further highlight your own company’s products, services or events. You may run image or video advertisements.

1.5 Enquiry form option for each content piece allowing for the capture of business enquiries.
You may request SmartCitiesTV apply a custom enquiry form to each individual video in which you may ask users to fill out data fields that you would like to capture. These data fields can be customized. Completed enquiry forms can be sent to any number of different emails addresses you supply.

1.6 Replication of applicable content to SmartCitiesTV.
If you have existing videos on services such as YouTube or Vimeo you can give us permission to replicate them and their associated descriptions and content over to SmartCitiesTV for the duration of the agreement.

1.7. Complimentary Branding Package.
In addition to the many features of a Commercial Content Partner Account our Commercial Partners will also benefit from a Complimentary Branding Package offering a total of 150,000 high profile Branding positions across SmartCitiesTV. These Advertising positions may link to any page on your website and each individual Ad type may link to a different page on your website.

1.8 Ongoing comprehensive support to help you get the most from your account.
In addition to telephone and email support for technical issues we will also be on-hand to help with content optimization. We can help with issues such as customizing enquiry forms and offering advice on content formats and styles that we know work well.

2. This agreement is for a term of 6 or 12 months depending on the option selected on the the Order Form and begins once the Order Form has been submitted. Upon the expiry of the agreement the Client will have the option to renew the agreement for another 6 or 12 months at a rate to be determined by SmartCitiesTV at the time providing SmartCitiesTV wishes to extend the renewal option to the Client.

3. Once this Order Form has been submitted SmartCitiesTV will raise an invoice which must be paid in full by the Client within 30 days of the date this Order Form is submitted.

4. The Client agrees that the content it submits to appear on SmartCitiesTV must meet SmartCitiesTV’s editorial guidelines, (as detailed in clause 6), and the Client agrees that SmartCitiesTV reserves the right to refuse to publish content that, in our judgment, does not meet these guidelines.

5. If content submitted by the Client does not meet our guidelines we will notify the Client within a period of three working days. Where possible SmartCitiesTV will provide an explanation as to why content has been refused and we will indicate how it might be improved but this is at our discretion.

6. Content submitted to SmartCitiesTV must be directly, or at least indirectly, relevant to Smart City and/or urban development and have application for the Public Sector. The Client may only submit their own content to SmartCitiesTV and not content from any third party or affiliate with the exception of when the Client has produced content in collaboration with a third party or affiliate.

7. All content submitted by the Client remains the property of the Client. For the purpose and duration of this agreement the Client grants SmartCitiesTV a worldwide non-exclusive license to use the content in any context that we decide is inline with the purposes and values of SmartCitiesTV.

8. The Client may cancel this agreement at anytime and request that SmartCitiesTV un-publish and delete all of the content that the Client has hosted on SmartCitiesTV’s servers. SmartCitiesTV will un-publish and delete all content within five working days from receiving a cancellation notice which maybe given via email or telephone.

9. Canceling of this agreement does not release the Client of its obligation to make full payment to SmartCitiesTV for the Content Partner Account irrespective of when the agreement is canceled or whether the account has been used.

10. SmartCitiesTV employs all reasonable endeavors to ensure it has a robust technical infrastructure but does not guarantee website up-time nor offer financial compensation for website down-time as this maybe beyond our control.
